Gift Card Service Terms & Policy

OVERVIEW
These Terms & Policy (“Terms”) govern your use of Peblla’s gift card features (“Gift Cards”).
By enabling Gift Cards in the Peblla Portal or continuing to sell or accept Peblla-issued gift
cards, you agree to these Terms.
SECTION 1
What Peblla Provides
One balance, everywhere
Gift Cards work in-store (POS/Kiosk) and online; digital and physical formats share the same balance.
Centralized settlement
All credit-card Gift Card loads settle to your Enterprise Escrow Account on file.
Reconciliation
Peblla provides reports covering loads, redemptions, outstanding liability, and fees.
SECTION 2
Fees
Applied on load
Standard processing
2.9% + $0.30 per Gift Card load
Peblla load fee
2.0% of the load amount
Redemptions
Deduct from stored balance and do not incur processing fees (processing fees still apply to any non-gift-card portion of a check).
Fee changes
Peblla may update fees from time to time with reasonable notice (e.g., Portal notice/email/updated page). Continued use after the effective date constitutes acceptance.
SECTION 3
Risk, Monitoring & Our Right to Halt
Risk oversight
Peblla monitors Gift Card activity for fraud, abuse, and abnormal patterns.
Abnormal activity (examples, not exhaustive)
Disproportionate loads vs. GMV; unusually large single-card values; atypically low redemption rates after ramp; rapid load/void cycles; high buyer concentration; keyed/manual entries; suspected synthetic or third-party abuse.
Actions we may take
At our sole discretion, temporarily suspend, limit, or halt Gift Card sales, adjust per-card/per-buyer caps, delay/withhold settlements, or require a rolling reserve to protect consumers, you, Peblla, and partners.
Cooperation
You must provide reasonable information we request (e.g., business details, bank info, traffic/sales) to support onboarding, compliance, or investigations.
SECTION 4
Allocation of Chargebacks
Outside any liability cap
Merchant responsibility
You are solely responsible for chargebacks, refunds, reversals, network assessments, penalties, and related fees arising from your Gift Card activity (including unredeemed balances if you cease operations).
Debit/offset
Peblla may, without notice, debit, offset, or withhold settlements or other funds to recover such amounts.
SECTION 5
Reimbursement
If Peblla pays or is debited for any amount attributable to your Gift Card activity, you must reimburse Peblla on demand. Peblla may collect via (i) debit of your Enterprise Escrow or other connected accounts, (ii) net-settlement offsets, or (iii) direct invoice.
Setoff & collections
Peblla may set off any amounts you owe against any funds we hold or owe to you. Collections costs (including reasonable attorneys’ fees) are your responsibility.
SECTION 6
Reserves, Holds & Adjustments
Reserves
Peblla may establish, increase, or release a reserve (e.g., percentage of loads held for a defined period) based on risk signals (load velocity, redemption behavior, abnormal activity).
Adjustments
We may make adjustments for chargebacks, refunds, reversals, corrections, and network assessments.
SECTION 7
Merchant Responsibilities
Compliance & disclosures
You must comply with applicable laws and network rules (including unclaimed property/escheat) and clearly disclose your consumer-facing gift card terms where required by law.
Accurate configuration
Keep your Enterprise Escrow and business details accurate and current; configure allowed denominations and single-card limits per Peblla guidance.
Prohibited uses
No laundering, cash-advance behavior, circular/self-funding patterns, or activity intended to evade rules or law. Peblla may decline, reverse, or hold suspected transactions.
SECTION 8
Cancellation & Wind-Down Obligations
Merchant
Notice
If you cancel Peblla services or discontinue Gift Cards, you remain responsible for all outstanding gift card liabilities.
Customer remediation
You must (a) transfer valid balances to a successor program or (b) refund affected customers, in each case in compliance with applicable law (including escheat).
Withholding rights
If you fail to perform the obligations above, Peblla may withhold deposits, settlements, or reserve funds and apply them to customer refunds, chargebacks, assessments, or related costs until liabilities are resolved.
Survival
These wind-down duties survive termination.
SECTION 9
Limitation of Liability
Does not cap chargebacks
To the fullest extent permitted by law, excluding amounts described in Sections 4–6
(chargebacks, assessments, penalties, reserves, withholdings, and your reimbursement
obligations), Peblla’s aggregate liability arising from or relating to Gift Cards is limited to the
Peblla load fees you paid for Gift Cards during the six (6) months immediately preceding the
event giving rise to liability. Peblla will not be liable for indirect, incidental, special,
consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or
data, even if advised of the possibility. Nothing in these Terms limits liability for willful
misconduct or fraud, or where such limitation is prohibited by law.
SECTION 10
Data & Privacy
Peblla processes transaction/account data to operate Gift Cards, perform risk controls, and
provide reporting, consistent with our privacy policies and applicable law.
SECTION 11
Changes to These Terms
We may update these Terms with notice (Portal/email/updated page). Continued use after the
effective date constitutes acceptance.
